Terms of Service

1.1 Eligibility. You must be at least 18 years of age and capable of forming a binding contract to use the Service. The Service is intended for business use only.

1.2 Registration. When you create an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

1.3 Acceptable Use. You agree not to use the Service to: (a) violate any applicable law or regulation; (b) transmit unlawful, harmful, or fraudulent content; (c) interfere with or disrupt the integrity or performance of the Service; (d) attempt to gain unauthorized access to any portion of the Service or its related systems; or (e) engage in any activity that could damage, disable, or impair the Service.

1.4 Account Security. You are solely responsible for any unauthorized use of your account. You agree to notify us immediately at support@freedomleadsai.com if you suspect any unauthorized activity.

2.1 Subscription Plans. FreedomLeadsAI offers subscription plans (including free and paid tiers) that provide access to the Service features. Paid subscriptions are billed on a monthly or annual basis as selected at time of purchase.

2.2 AI Credits. Certain features of the Service, including AI-powered voice calls, SMS messaging, and automated outreach, consume "credits." Credits may be included with your subscription plan or purchased separately. Credits are non-refundable and expire as disclosed at the time of purchase unless otherwise specified.

2.3 Payment Processing. Payments are processed through Stripe, Inc. By providing payment information, you authorize us to charge your payment method for all applicable fees. All fees are in USD unless otherwise stated. We reserve the right to change pricing with at least 30 days' prior notice.

2.4 Refunds. Subscription fees are generally non-refundable except where required by applicable law. If you believe you have been charged in error, please contact us within 30 days of the charge at support@freedomleadsai.com.

2.5 Taxes. You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities. We will collect taxes where required by law.

3.1 AI-Powered Tools. The Service includes AI-powered features such as voice call automation, SMS messaging, LinkedIn outreach automation, email drafting, CRM management, and business workflow tools. These features are powered by large language models and third-party AI providers and may produce outputs that are imperfect, incomplete, or require human review.

3.2 Human Oversight. You acknowledge that AI-generated content and automated actions should be reviewed by a qualified human before being relied upon for business-critical decisions. The Company is not liable for decisions made based solely on AI-generated outputs.

3.3 Prohibited AI Uses. You agree not to use the AI features to generate content that is deceptive, harassing, discriminatory, or that violates any applicable law. You may not use the Service to create spam, conduct fraudulent outreach, or impersonate any person or entity.

3.4 Output Ownership. Subject to your compliance with these Terms, you retain ownership of the content and outputs you generate through the Service. You grant us a limited license to process such content solely to provide the Service.

4.1 Third-Party Communications Provider. FreedomLeadsAI uses Twilio, Inc. and other third-party communications providers to enable voice calls and SMS/MMS messaging through the Service. By using these features, you agree to comply with Twilio's Acceptable Use Policy and all applicable communications laws.

4.2 TCPA Compliance — Your Responsibility. THE TELEPHONE CONSUMER PROTECTION ACT (TCPA), CAN-SPAM ACT, and similar federal and state laws impose strict requirements on automated calls and text messages. BY USING THE VOICE, SMS, OR AUTOMATED OUTREACH FEATURES OF THIS SERVICE, YOU REPRESENT AND WARRANT THAT:

• You have obtained all legally required consents from any individual you contact using the Service, including prior express written consent for autodialed or prerecorded calls and texts where required by the TCPA.
• You maintain records of all consents and can produce them upon request.
• You will honor all opt-out requests promptly and in compliance with applicable law.
• You will not use the Service to contact any number on the National Do Not Call Registry unless you have a valid exemption.
• All contacts imported into the Service were obtained lawfully and with appropriate permissions.

4.3 Indemnification for Communications Violations. You agree to indemnify, defend, and hold harmless the Company from any claims, damages, fines, penalties, or costs arising from your violation of TCPA, CAN-SPAM, or any other applicable communications law, including any unauthorized use of automated calling or messaging features.

4.4 Call Recording. The Service may record voice calls for AI training, quality assurance, and transcript generation. You are solely responsible for disclosing call recording to call participants as required by applicable law (including state two-party consent laws). By enabling call recording features, you represent that you have obtained all required consents.

4.5 LinkedIn Automation. Any LinkedIn outreach features are subject to LinkedIn's Terms of Service. You are responsible for using LinkedIn automation tools within LinkedIn's permitted limits. The Company is not liable for any restriction or suspension of your LinkedIn account.

5.1 Your Data. You retain ownership of all data you upload, import, or generate through the Service ("Customer Data"), including contact lists, call recordings, messages, and business information.

5.2 Our License to Your Data. You grant us a limited, non-exclusive license to store, process, and use your Customer Data solely for the purpose of providing the Service to you and as described in our Privacy Policy.

5.3 Contact Data. When you import contacts into the Service, you represent that you have the lawful right to store and process that contact information and to use the Service's features with those contacts.

5.4 Security. We implement industry-standard technical and organizational measures to protect your data, including encryption in transit and at rest, access controls, and regular security reviews. However, no system is completely secure, and we cannot guarantee absolute security.

5.5 Privacy Policy. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

6.1 Our Property. The Service and all related technology, software, code, designs, trademarks, and content (excluding Customer Data) are the exclusive property of the Company and its licensors. Nothing in these Terms grants you any right to use our trademarks, logos, or other brand features without prior written consent.

6.2 Feedback. If you provide suggestions, feedback, or ideas about the Service, you grant us an irrevocable, royalty-free license to use and incorporate that feedback into the Service without obligation to you.

7.1 Termination by You. You may cancel your account at any time through your account settings or by contacting us at support@freedomleadsai.com. Cancellation takes effect at the end of the current billing period. We do not provide pro-rated refunds for unused subscription time unless required by law.

7.2 Termination by Us. We may suspend or terminate your access to the Service, with or without notice, if: (a) you materially breach these Terms; (b) your use of the Service poses a security or legal risk; (c) we are required to do so by law; or (d) you fail to pay applicable fees. We will provide advance notice where reasonably practicable.

7.3 Effect of Termination. Upon termination, your right to use the Service immediately ceases. We will retain your Customer Data for up to 90 days after termination, during which time you may request an export. After 90 days, we may permanently delete your data in accordance with our data retention practices.

11.1 Governing Law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions.

11.2 Arbitration. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and judgment may be entered in any court of competent jurisdiction.

11.3 Class Action Waiver. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST THE COMPANY.

11.4 Exceptions. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm while arbitration is pending.

12.1 Changes to Terms. We may modify these Terms at any time. We will provide notice of material changes by email or through the Service at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

12.2 Entire Agreement. These Terms, together with our Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and the Company regarding the Service.

12.3 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

12.4 No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

12.5 Assignment. You may not assign or transfer any rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
